Vista Home Prem. OEM Version To Retail Ultimate Version

To correct some continuing issues with my OEM version of
Vista I would like to upgrade from the OEM Home Prem. to
Retail bought Vista Ultimate 32.

Questions:

Will all of my files and data be transferred or will I have
to do a backup to transfer all programs to new Ultimate ?

Is Retail version a little more reliable than OEM version?

Am I throwing away more money on this public released
beta product?

Issues include new ones every week, i.e. can't restore to
earlier date, programs work then quit, selected updates
won't update (but download)

Theres no difference between OEM & Retail editions other than the Licence.
