I also had this version of the problem, and finally got it resolved after 3
back-and-forth e-mails with Microsoft Support.
After finding this thread, I am convinced that the WGA Notificaition tool is
defective in its very design, and that Microsoft should withdraw it and send
an update to remove this malware from our systems.
Because I had this problem on multiple computers, I tried both resolutions,
and both worked.
Here are the resolutions, snipped out of support's e-mail. I hope this
helps you as well.

To resolve this issue, we can refer to the following method to troubleshoot
this issue:
Option 1:

1. Open a command window and run Wgatray.exe /b
2. Log off and then log back in -- or just reboot
Option 2:
===========
1. Navigate to
http://www.microsoft.com/genuine and click on “Validate
Windows”
2. Reboot the computer, and the notification update should correct itself
3. If two reboots are required, the user will likely need to visit the
Windows Update Website (
http://windowsupdate.microsoft.com/) and the WGA
Notification Tool KB905474 will be re-offered. Reinstall the update.
Note: rebooting alone may solve this problem - though two reboots may be
necessary for either option.
