dognosh,

Open the WindowsUpdate.log located in the WINDOWS directory (folder).
Either post the last 20 - 30 lines of the log for the date of the last
visit to Windows Update or locate the error codes associated with the
last failed update attempt and post what you find into your response.

( The error codes will look similar to this one :
0x8024400D )

Is NOD32 the installed antivirus ? If so, see this :
http://support.microsoft.com/kb/902322

If not, what are the firewall and antivirus software being used ?
If there is a download accelerator, 3rd party popup or Cookie blocker
being used, please temporarily disable them and revisit Windows Update
to see if one of those were the issue.

From an earlier post by you :

> no,i run norton internet security 2006

I'd bet my house that the update issues stem from NIS 2006. Simply put,
it's not compatible with most XP systems.
Did you specifically allow connections to WIndows Update using ports 80
and 443 ?
Are ActiveX objects being blocked ?
Is BITS functioning correctly ? - Go to Start > Run, type in
services.msc
Click OK
Scroll down to Background Intelligent Transfer Service
Double click it
If the Startup type is set to Manual, click on the Start button if the
Service status shows Stopped.
Did it start ?

Frankly, with NIS 2006 there may be damage to BITS, ActiveX may be
blocked, scripting may be blocked, Cookies may be blocked, etc.
The list is almost endless. One has to be extremely fortunate to be able
to update successfully with NIS 2006 installed, or for that matter, to
have a stable OS.
Unfortunately, this is not the situation in your case. NIS is preventing
the system from updating successfully.
