got this error : 0x8024402c

my default xp boot drive is in e:\ drive ...and i have admin rights ..does
it matter ?

There are two ways to update Windows Defender ... does it fail to update
from Windows Update or from within Windows Defender ?
From within Windows Defender, click the down arrow next to the question
mark, then click About Windows Defender, Check for Updates.

You may find more information as to why the update failed by going to
the WINDOWS\Software Distribution folder and checking the
ReportingEvents.log.

UNABLE TO UPDATE WINDOWS DEFENDER.

SOLUTION:

- Update Windows installer to Ver 3.1
Install windowsdefender.msi
- Make sure windows product vaildation is done from microsoft site.
- Make sure the following 3 services are running.
1.Windows Update
2.Background intelligent transfer Service.
3.windows defender service.

Go to windows defender - Help>About>Check for updates and wait for a while,
as Defender would update itself from the site.
At the end of the up date , you would get a message that windows defender is
up-2-date.
