Windows Genuine Advantage question

After visiting Windows Update and downloading a new version of Windows
Genuine Advantage, all of a sudden WGA program keeps wanting internet
access.

I don't find it in msconfig, nor in the 'run' part of the registry.

Question 1 - how do I disable WGAtray.exe?

Question 2 - why does it keep needing internet access?

One other thing: I have no problem with Microsoft verifying my OSs, heck,
I paid for them - Retail Versions. But, this program seems to be hidden,
which is what is causing my concern.
