I have seen this occur if any proxy settings change within Internet Explorer.
Try the following:
1 - Goto Start-> run, type services.msc
2 - Disable and Stop Automatic Updates, and BackGround Intelligent Transfer
Servive
3 - Goto C:\WINDOWS and delete the SoftwareDistribution Folder (we stopped
the above services, because you will be denied access to delete this folder
while they are in active use by those services, if you have any problems,
boot into Safe Mode and delete the folder)
4 - Run services.msc once again, and set both services to Automatic and
Start them.
Attempt to run Windows Update now, it should work, possibly with a longer
than usual delay the first run.
