Trying to upgrade to Sp 2, keep getting message KEY is incorrect-typed off
sticker on side of case. Have tried to reset thru registry and it says
registered.

Are you are trying to install SP2 of perform a clean install
of XP SP2?

As for keycodes it's not uncommon to misread some of the
letters and numbers, so take are close look at the sticker.
(do not confuse the letter O with the number zero,
also the number 8 and the letter B).

Not quite sure what you're trying but FYI -
