How to troubleshoot Windows Update, Microsoft Update, and
Windows Server Update Services installation issues
http://support.microsoft.com/kb/906602/en-us

You may wish to visit the Microsoft Download Center web site
and manually download the updates. Enter the KB number
in the box next to "All Downloads".

I can download these files....then I get this error
'you do not have permission to update windows XP...please contact your
ssytem admin'

Running the files as local admin still produces the same error message....

Try the following:

Go to Start > Run and type: SecPol.msc , and hit Enter.

Then go to "Local Policies > User Rights Assignment"

Verify that the "Administrators" group is a member of the following
policies:

Back up files and directories
Debug programs
Manage auditing and security log
Restore files and directories
Take ownership of files or other objects

If you are running Windows XP Home Edition,
log on as the Administrator, then visit the Windows
Update web site.
