This is a great question, and you have several options. The article is

http://support.microsoft.com/kb/292607, but I can summarize it for you
here. For Windows Millenium Edition, here are the four possible SKU's you
could pick from:
Windows XP Home Edition Retail (Full) Version
Windows XP Home Edition Upgrade Version
Windows XP Professional Retail (Full) Version
Windows XP Professional Upgrade Version
If you have any of these available, then you can upgrade with ease. If you
must purchase them, then the Upgrade version is obviously the cheapest.
If you have been backing up your data, and wish to start with a fresh
operating system, you might consider the following:
1. Back up all of your data, pictures, etc. off of your computer.
2. Fresh install the Retail (Full) Version of Windows XP Home Edition
3. Restore the data onto your hard drive.
4. Go to Windows Update, and get any updates beyond SP2, which is likely
already included in the Operating System you buy in the store.
