This error occurs before the one you are reporting.
I would investigate it first.

First let's do a search:

http://groups.google.com/groups?q=80...ff=1&scoring=d

(Google Groups search for
80070002 OR 0x80070002 MVP OR MSFT group:microsoft.*.windowsupdate
- sorted by date to show the latest thinking
)

Ignore any entries which refer to V4 because you clearly have WUv5.

Hence you will see various suggestions to clean up the SoftwareDistribution
directory. I would start with the least destructive suggestion first.

http://v5.windowsupdate.microsoft.co...cleid=17&ln=en

If you still get the symptom I would focus on what is happening
in that subdirectory. Try searching for some of my posts
which mention that subdirectory and the freeware utility FileMon.
Note that I am not particularly suggesting you use FileMon;
that just happens to be a convenient way to discover all my posts
about diagnosing how SoftwareDistribution gets used.

E.g. here's one:

http://groups.google.com/groups?q=so...phx.gbl&rnum=2

FYI in V4 a related symptom occurred when the download directory
was contained on a network device which the user did not have
authority to create subdirectories on. So your analysis should
consider at least two possibilities: 1) something is broken
2) your configuration is preventing things from working properly.

Good luck
