XP Prof. SP2 Error "smi2smir.exe"

When I try to install SP2 on my XP Prof. system I get an error message
stating: "setup cannot copy the file smi2smir.exe"

I have tried a download from Microsoft.com as an install from a CD. Same
thing.

Anyone have any ideas? Suggestions???
