Issues with systems that do not properly shutdown are most commonly traced
to conflicts with third party applications, most commonly anti-virus
products, but this could occur with any application that might be monitoring
the system.
Turning off the Automatic Updates service could be an indication of a
conflict between the shutdown processes of the AU service (which does some
checking at shutdown on XP SP2 systems) and the application that is actually
causing the conflict.
I would suggest systematically turning off all running applications,
one-at-a-time, followed by another shutdown attempt, until you find the
application that, when terminated, allows the system to shutdown normally.
I'd start with antivirus software, and follow that with
anti-spyware/anti-malware software and anti-spam software.
