Try the following:-
Click Start, select run and type the following (pressing okay after each one):-
net.exe stop wuauserv
regsvr32 wuweb.dll
regsvr32 wups2.dll
regsvr32 wups.dll
regsvr32 wucltui.dll
regsvr32 wuaueng1.dll
regsvr32 wuaueng.dll
regsvr32 wuapi.dll
regsvr32 MSXML3.dll
net.exe start wuauserv
Try WU again.
If that hasn't helped, then you may have to reinstall the Windows Update Agent.
A new version of the Windows Update Agent is available

|I have the same issue. I installed Windows XP Professional from an
| SP2-integrated CD (downloaded from MSDN Subscriber downloads), then applied
| the standalone SP3 install (~320MB EXE), then tried to run Windows update,
| but it failed with error code 0x80004002.
|
| Thanks for any help,
