I was having the same problem so I submitted a request for email support from
microsoft. The sent me the following information.
The issue may be related to corrupted registry entries. We can install SP2
in Safe Mode to test the issue:
Install SP2 in Safe Mode.

1. Restart the computer.
2. Keep pressing the F8 key until the Windows Startup menu appears.
3. Choose Safe Mode, and press Enter.
4. Log onto your user account.
5. Go to C:\Windows\System32 and then delete the Catroot2 folder. Note: Do
not delete the Catroot folder.
6. Double click the installation package to install Windows XP Service Pack
2.
I did this and sucessfully upgraded to SP2.
