I have 5 Domain Controllers, running 2000 standard in Native Mode. On one of
those DCs, is Exchange 2000. If the domain prep and the forest prep are
done on an FSMO server and replicated through out the domain, beside the
mangled attributes, is there anything that has to be done on the Exchange
server? Once the domain and forest prep are complete, I am assuming a W2K3
Server can be promoted to a DC?

Not really. Application of the latest patches is always recommended.

Correct. Once the ADPREP is done you can start to introduce Windows Server
2003 Domain Controllers to your forest. You should either try and upgrade
the PDCe to 2003, or transfer the role to a 2003 (SP1) server. This will
ensure that the new security principals are created, and is good from a DFS
    perspective if I remember correctly.
