I have a network with 2 DC (2003) running in mixed mode and an exchange
server 2003 running on member server (2003). I have many distribution groups
with 1000 and more member users in AD witch has to be converted to security
groups. I did some investigation and I found that they can not be converted
unless DCs are running in native mode. Is that so? If I have to raise
functional level of DCs, will that have some implications to Exchange
server. Do I have to make the same change (from mixed AD mode to native) on
both DC servers or on just one?

Exchange 2000/2003 requires at least one native mode AD domain in order to
convert DLs into UDGs/USGs. Otherwise you will have major errors with users
accessing PFs and some mailboxes. So the functional level of the domain does
have a direct effect on Exchange. I'm surprised you installed Exchange 2003
without at least one native mode AD domain. I guess it works, but any DLs
that were granted access to PFs or mailboxes will have problems with members
    accessing them.
