Driver Conflicts?

I got a Dell 400SC and installed WinXP SP1 on it, I replaced the PCI
video card with a AGP Sapphire ATI 8500LE and I also placed a
Avermedia M150 TV Tuner card inside. I got all the new drivers for
the 400SC as well as for the tv tuner and vid card. Here's my
problem, for some reason theres a conflict with the AGP card drivers
and the TV Tuner card drivers. All but 2 of the TV Tuner card devices
show up fine under device manager, but the encoder and the audio
capture devices have exclamation points in front of them. I did a
    little snooping and found out
if I uninstalled the ATI drivers and reboot with a VGA generic driver
its fine, the TV-Tuner card is a-ok. Also if I install the drivers
after that same reboot, and don't reboot the system, both the video
card and tv-tuner card are fine and perform fine, but once I reboot,
the TV-Tuner encoder and audio capture show up with the excamation

So I took out the AGP card and installed the PCI card that came with
system, low and behold the devices are all fine. I don't seem to
understand what's going on? I also did more tests and I swapped out
the ATI card with my NVidia GeForce 5600 Ultra thats in my main cpu,
and it works fine. There seems to be some ATI AGP driver conflict,
does anyone happen to have a fix?

Also on a unrelated or related note, I seem to be getting a Write
    Delay Failure
in Windows after I installed the ATI drivers.
